Allprint Company Limited and Allprint Ainsworth Associates Inc.
On February 5, 2010 Allprint Company Limited ("Allprint Company") and Allprint Ainsworth Associates Inc. ("Allprint Ainsworth"), collectively referred to as the "Companies", each filed their own Notice of Intention to Make a Proposal pursuant to Section 50.4 of the Bankruptcy and Insolvency Act ("BIA"). A. Farber & Partners Inc. ("Farber") was appointed Trustee in the Proposals of the Companies (the "Trustee").
The effect of the Notices of Intention to Make a Proposal is that they provide a stay of proceedings over all creditors staying all amounts outstanding effective February 5, 2010 (i.e. all amounts outstanding at February 5, 2010 and prior) while the Companies formulate a Proposal to be presented to their creditors.
By Court Order dated February 26, 2010, the deadline to file a Proposal was extended to April 21, 2010. On that same date, the Proposal proceedings for the Companies were administratively consolidated.
The February 26, 2010 Order also approved the entering into by the Companies of an auction agreement with respect to the auctioning of substantially all of the Companies' machinery and equipment. The auction took place in late March 2010.
Allprint Company did not file a Proposal by April 21, 2010, and as such was deemed to have made an assignment in bankruptcy on April 22, 2010. A copy of the bankruptcy certificate for Allprint Company is attached below.
On April 21, 2010, Allprint Ainsworth lodged a Proposal with the Trustee. On April 30, 2010, a Notice of Proposal to Creditors, together with a copy of the Proposal and other relevant documents (the "Proposal Package"), was sent to all known creditors. A copy of the Proposal Package is attached below.
A general meeting of creditors to consider the Proposal was scheduled for May 11, 2010. In advance of that meeting, the Trustee prepared its Report to Creditors to assist creditors in considering the Proposal at the May 11, 2010 meeting. A copy of the Trustee's Report to Creditors is attached below.
At the May 11, 2010 meeting, the majority of creditors refused the Proposal of Allprint Ainsworth, which in turn deemed Allprint Ainsworth bankrupt as of May 11, 2010. A copy of the bankruptcy certificate for Allprint Ainsworth is attached below.
